By accessing this website (https://cynthiathomas.consulting), booking an advisory briefing, submitting an institutional diagnostic, or executing an engagement contract, you confirm that you have read, understood, and agreed to be bound by these Terms of Use and Advisory Engagement.
If you represent an educational institution, school foundation, governing council, or university board, you represent and warrant that you possess the requisite authority to bind that entity to these Terms.
Independent Advisory & Regulatory Disclosures
All references to CIS standards, IB World School authorization criteria (PYP, MYP, DP), NEASC benchmarks, or National Professional Qualification standards are made strictly for educational diagnostic alignment, compliance benchmarking, and institutional readiness advisory purposes.
Our diagnostics, audit reports, and RAG matrices provide expert professional preparation. However, formal accreditation and authorization decisions remain solely within the statutory discretion and peer-review processes of the respective inspecting and accrediting bodies.
Standard Non-Disclosure Terms (NDA)
All institutional discussions, diagnostic submissions, executive briefings, and audit documentation are governed by standard UK non-disclosure obligations:

The Fast-Track Audit™ & Commercial Licensing
Engagements for The Fast-Track Audit™ ($5,000 USD) and long-term advisory retainers are subject to the following commercial parameters:
Audit frameworks, remediation action plans, and diagnostic toolkits delivered during an engagement are licensed for internal use on a single campus only. Multi-campus educational networks require enterprise multi-site licensing.
Fast-Track Audit findings and executive RAG scorecards are delivered within 10 business days following the formal receipt of baseline institutional evidence and stakeholder onboarding interviews.
Audit efficacy depends upon accurate and timely delivery of school policies and evidence dossiers. Diagnostics reflect documents made available at the time of assessment.
Audit fees are invoiced upon agreement with payment due prior to diagnostic delivery. Advisory retainers are billed monthly in advance under a formal Master Services Agreement (MSA).
Intellectual Property Rights
All content, software architecture, methodology frameworks, proprietary RAG simulators, and written materials on this site are the exclusive intellectual property of Cynthia Thomas Consulting and are protected by United Kingdom and international copyright and intellectual property laws.
Client institutions retain full ownership of their underlying school records and proprietary board governance documents. Cynthia Thomas Consulting retains all rights to its proprietary audit methodologies, diagnostic templates, and advisory rubrics.
Limitation of Liability
To the maximum extent permitted by applicable English law:
- Cynthia Thomas Consulting provides advisory counsel to professional standards. However, we do not accept liability for the independent determinations, deferrals, or inspection freezes imposed by external accreditation authorities.
- In no event shall Cynthia Thomas Consulting be liable for any indirect, consequential, incidental, or special damages, including loss of pupil enrollment, tuition fee discounts, reputational injury, or lost revenue.
- Our total cumulative liability arising out of any engagement shall not exceed the aggregate professional fees paid by the client school for that specific advisory engagement.
- Nothing in these terms limits or excludes liability for fraud, death, or personal injury caused by negligence.
Briefing Scheduling & Machine Interfaces (WebMCP)
Confidential 30-minute briefings are reserved via Calendly or our direct 3-step Express Intake. By scheduling a briefing, you commit to professional executive attendance. In the event of rescheduling needs, kindly provide at least 24 hours advance notice via your calendar confirmation link.
Machine-accessible endpoints (including /llms.txt and /mcp-actions.json) are published for legitimate institutional discovery and browser subagent interaction. Automated scraping or automated submission of fabricated inquiries is strictly prohibited.
Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the advisory engagements contemplated herein.
